Eligibility: The Top Chef Chicago Voting Sweepstakes (“Promotion”) is open only to persons who, at the time of entry, are permanent legal residents of, and are physically present in, the contiguous 48 United States and the District of Columbia (excluding Puerto Rico, Guam and the US Virgin Islands) and who are twenty one (21) years of age or older. Employees of Bravo Media LLC ("Bravo"), NBC Universal, Inc., Magical Elves, Inc., Single Point, Toyota North America and any and all advertising and promotion agencies or administrators involved with this Promotion, and their parents, subsidiaries, divisions, affiliates and related companies, the immediate family members and/or those living in the same household of such employees, and contestants who are participating or who have participated in the fourth cycle of the series Top Chef (collectively, the “Excluded Participants”) are not eligible to participate or win. Entries must be received by the times stated below to be eligible. Notwithstanding the foregoing, Excluded Participants are eligible to vote on the Fan Favorite Weekly Question (described below); however, they are not eligible to win the Grand Prize. By entering the Promotion, all entrants are bound by and agree to these Official Rules. All federal, state and local laws and regulations apply.

Sponsor: The Sponsor of the Promotion is Bravo Media LLC/NBC Universal, Inc. (the “Sponsor”).

Promotion Period: The Promotion begins at 9:00 PM (ET) on March 12, 2008 and will end at 12:01 PM (ET) on the day following the exhibition of the last first-run episode (i.e., the finale episode) of the fourth cycle of the series Top Chef (the “Show”), which is currently anticipated to occur on or before July 9, 2008 (collectively, the “Promotion Period”).

How to Enter: This Promotion consists of individual weekly voting promotions (“Weekly Voting”) and one (1) Grand Prize Promotion (“Grand Prize Drawing”). The Weekly Voting will begin during each first-run episode of the Show exhibited during each week of the Promotion Period (check local listings for dates and times when first run episodes of the Show, if any, will be aired). At a predetermined time in the exhibition (approximately in the last thirty minutes of the Show) viewers will be invited to answer a weekly question (“Weekly Question”). All viewers who respond to such an invitation (a “Promotional Spot Invitation”) by answering a Weekly Question will be entered into the Grand Prize Drawing. The Weekly Question will also be posted on www.bravotv.com/Top_Chef (the “Website”). You can purchase a ringtone for $.99 and vote and enter, or vote and enter for free.

Purchase a Ringtone or Wallpaper and vote and enter with Your Cell Phone: If you have a text messaging capable cell phone from a participating carrier, you can purchase an exclusive Bravo ringtone or wallpaper (see details below) (“Bravo Downloadable”) and vote and enter the Grand Prize Drawing by answering the Weekly Question, once prompted to do so during a Promotional Spot Invitation, by sending a text message to a short code announced during such Promotional Spot Invitation (which will also be posted on the Website) with your response to the Weekly Question. For example, you will send a text message with the letter corresponding to your answer to the Weekly Question that is posed. (Letter choices will be announced in the Promotional Spot Invitations.) A premium text message charge of $.99 will apply to all text messages sent to purchase a Bravo Downloadable and vote in a Weekly Question and enter the Promotion. In addition, standard text messaging rates apply to the purchase/vote/entry and all other text messages sent and received in connection with the Promotion. You will receive a text message that includes a confirmation that the message has been received and an alpha numeric code that may be redeemed for a Bravo Downloadable on (URL) (“Premium Code”), or an error message noting delivery failure. For more information on how to redeem your Premium Code, please see section labeled “Redeeming your Premium Code”. For every response to a Weekly Question submitted via text messaging, you will receive one (1) Bravo Downloadable (see details below) and one vote for the Weekly Question and one (1) entry into the Grand Prize Drawing to select one (1) Grand Prize Winner. Once a Weekly Question has been posed during a first run episode of the Show during the Promotion Period, or at the point in time when the same Weekly Question appears on the Website, whichever occurs first, viewers may answer the Weekly Question up until approximately 12:01 pm ET the day after the first run episode of the Show in which the same Weekly Question was first posed. During weeks in which the Weekly Question may be designated by Sponsor as the Fan Favorite Weekly Question (explained below), the answer period may be extended by Sponsor, in its sole discretion. If the answer period is extended by Sponsor when the Weekly Question designated by Sponsor is a Fan Favorite Weekly Question, the date and time on which such answer period will end will be announced on-air during the Show and/or will be posted on the Website. Please use caution and do not drive while entering the Promotion. Text message participation is not available to residents of Georgia. Residents of Georgia must participate at www.bravotv.com/Top_Chef only.

To vote and enter online without a Purchase and ONLINE VOTING AND ENTRY for residents of Georgia: To vote and enter the Promotion and Grand Prize Drawing without using a text messaging capable cell phone, visit www.bravotv.com/Top_Chef and complete the online registration, including the letter for the answer to the Weekly Question you wish to submit. Once a Weekly Question has been posed during the first run of an episode of the Show during the Promotion Period, or at the point in time when the same Weekly Question appears on www.bravotv.com/Top_Chef, whichever occurs first, viewers may answer the Weekly Question up until approximately 12:01 pm ET the day after the first run episode of the Show in which the same Weekly Question was first posed. During weeks in which the Weekly Question may be designated by Sponsor as the Fan Favorite Weekly Question (explained below), the answer period may be extended by Sponsor, in its sole discretion. If the answer period is extended by Sponsor when the Weekly Question designated by Sponsor is a Fan Favorite Weekly Question, the date and time on which such answer period will end will be announced on-air during the Show and/or will be posted on the Website.

Subject only to the exception(s) described below, there is a LIMIT OF TEN (10) ENTRIES per cell phone/email address for each Weekly Question announced during the Promotion Period. Fan Favorite Weekly Question and Finale Weekly Question Exception(s): However, in instances in which Sponsor designates the Fan Favorite Weekly Question as the Weekly Question or when the Weekly Question is announced in connection with the exhibition of either or both of the last two (2) first-run episodes (i.e., the finale episodes) of the Show (each, a “Finale Weekly Question”), Sponsor may, in its sole discretion, increase the number of permitted entries to twenty (20) entries per cell phone/e-mail address for any such Fan Favorite Weekly Question or Finale Weekly Question. Sponsor will announce any such increase in the number of permitted entries for any Fan Favorite Weekly Question or Finale Weekly Question on air and on the Website at the time that the respective Weekly Question is announced.

By way of example, if fourteen (14) first run episodes of the Show are exhibited during the Promotion Period and Sponsor does not increase the number of permitted entries to twenty (20) for any Fan Favorite Weekly Question or for any Finale Weekly Question, then the total number of permitted Entries for the Grand Prize Drawing during the entire Promotion Period would be one hundred forty (140) (i.e., fourteen (14) episodes times ten (10) entries per Weekly Question). As another example, if fourteen (14) first run episodes of the Show are exhibited during the Promotion Period and Sponsor does increase the number of permitted entries to twenty (20) for two (2) separate Fan Favorite Weekly Questions and one (1) Finale Weekly Question announced during the Promotion Period, then the total number of permitted Entries for the Grand Prize Drawing during the entire Promotion Period would be one hundred seventy (170) (i.e., eleven (11) episodes times ten (10) entries plus three (3) episodes times twenty (20) entries).

Regardless of the method of entry, you are limited to a total of ten (10) entries per email address/cell phone for each Weekly Question, unless Sponsor announces an increase in the limit to twenty (20) entries per email address/cell phone for a Fan Favorite Weekly Question or a Finale Weekly Question. So, for example, for Weekly Questions where the limit on entries is ten (10), you can (a) enter up to 5 times on your cell phone and 5 times online, (b) enter once on your cell phone and 9 times online or (c) enter up to 10 times on your cell or up to 10 times online. Entries from the same person in excess of ten (10) for any such Weekly Question will be disqualified. As another example, for a Fan Favorite Weekly Question or a Finale Weekly Question where Sponsor has announced that the limit on entries is twenty (20) (instead of the normal ten (10)), you would be able to (a) enter up to 10 times on your cell phone and 10 times online, (b) enter once on your cell phone and 19 times online or (c) enter up to 20 times on your cell or up to 20 times online. Entries from the same person in excess of twenty (20) for any Fan Favorite Weekly Question or any Finale Weekly Question (for which Sponsor has announced an increase in the limit on entries to twenty (20)) will be disqualified.

Additional Fan Favorite Weekly Question Exception: In instances in which Sponsor designates the Fan Favorite Weekly Question as the Weekly Question in consecutive weeks during the Promotion Period, the number of permitted entries will still be either (see above) ten (10) or twenty (20) times the number of consecutive weeks in which the Fan Favorite Weekly Question is so designated as the Weekly Question; however, such entries may be made at any time during that entire period (i.e., the number of consecutive weeks) over which the Fan Favorite Weekly Question is designated as the Weekly Question. (For example, if the Fan Favorite Weekly Question is designated by Sponsor as the Weekly Question for two (2) weeks in a row, Sponsor may announce (when the Fan Favorite Weekly Question is announced) that you can enter either up to twenty (20) times or up to forty (40) times (depending upon whether Sponsor has announced an increase in the permitted number of entries) (and at any time) over the entire course of those two (2) weeks.)

Redeeming your Premium Code: If you purchased a Bravo Downloadable, you will receive a text message that includes a confirmation that the message has been received and one (1) Premium Code that may be redeemed for a Bravo Downloadable at bravotv.com/download (“Premium Store Website”). To redeem the Premium Code, log on to the Premium Store Website and enter your cell phone number, carrier and Premium Code. For each Premium Code entered, you will receive a $.99 credit that may be used to download the Bravo Downloadable of your choice.

Top Chef Chicago Fan Favorite Competition. During the Promotion Period, one or more of the Weekly Questions may be designated by Sponsor as “Who is your favorite Top Chef Chicago contestant?” (the “Fan Favorite Weekly Question”). Each viewer’s response to the Fan Favorite Weekly Question will be collected as a vote for the respective Top Chef Chicago (cycle 4) Contestant and the Top Chef Chicago (cycle 4) Contestant who receives the most overall votes in connection with all of the Fan Favorite Weekly Question(s) (and who meets all eligibility requirements) will be declared the “Top Chef Chicago Fan Favorite Winner” of the Top Chef Chicago Fan Favorite Competition; and the Top Chef Chicago Fan Favorite Winner will be eligible to win $10,000 (“Top Chef Chicago Fan Favorite Prize”). (Note: The Top Chef Chicago Fan Favorite Competition will only be conducted and the Top Chef Chicago Fan Favorite Prize will only be awarded IF Sponsor, in its sole discretion, designates one or more of the Weekly Questions as a Fan Favorite Weekly Question.) In the event of a tie for the Top Chef Chicago Fan Favorite Competition, the Sponsor will decide who will be deemed the winner from among those Top Chef Chicago Contestants tied for having received the most votes in the Top Chef Chicago Fan Favorite Competition based upon the following criteria with each factor receiving equal weight: (i) creativity of Chefs’ dishes, (ii) originality of Chefs’ dishes, and (iii) the presentation of the Chefs’ dishes. Sponsor reserves the right to substitute a prize of equal or greater value for the Top Chef Chicago Fan Favorite Competition. All federal, state and local taxes are the sole responsibility of the Top Chef Chicago Fan Favorite Winner. Bravo retains the option to terminate the Top Chef Chicago Fan Favorite Competition for any reason, in its sole discretion. If Bravo cancels the Top Chef Chicago Fan Favorite Competition, the Top Chef Chicago Fan Favorite Prize, if not already awarded, will not be awarded.

Conditions for Participation and Validation of Entries. Text Message and/or online entries generated by a script, macro, robotic or other automated means will be disqualified. USE OF COMPUTER PROGRAMS TO ENTER AND/OR OTHER AUTOMATIC ENTRY METHODS, (SUCH AS HACKS OR BOTS), REGARDLESS OF METHOD OF ENTRY IS STRICTLY PROHIBITED. Sponsor reserves the right to disqualify, and block or discard any text message or online entries from any individual who enters by any kind of electronic, mechanical or other automated means or otherwise tampers with or hacks the entry process as determined by the Sponsor in its sole discretion. Sponsor also reserves the right, in its sole discretion, to cancel, modify or suspend the Internet, electronic and/or text-messaging portions of the Promotion in the event of a computer virus, bugs, tampering, unauthorized intervention, fraud, technical or system failure or disruption, force majeure or any other causes which, in its sole opinion, corrupt the administration, security, fairness, integrity, or proper operation of the Promotion. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. THIS IS OUTLINED MORE CLEARLY BELOW. Please note, by entering, you agree that if selected as the winner of the Grand Prize Drawing, Sponsor has the right to announce your name, home city, and state, and to air your voice live on-air during the Show. Sponsor is not responsible for late, lost and/or incomplete text message or online entries, which will be disqualified.

Grand Prize Random Drawing: A Random Drawing will be conducted promptly following the end of the Promotion Period (currently anticipated to be on or about July 9, 2008) by employees or representatives of Sponsor who will randomly pick one (1) Grand Prize Winner from all eligible text message and online entries received during the Promotion Period. Odds of winning depend on the total number of entries received.

Prizes and Approximate Retail Values: Sponsor will award to the winner of the Grand Prize Random Drawing one (1) Grand Prize consisting of a food enthusiast’s trip for two (2) people (“Grand Prize Winner” and “Guest”) to Napa Valley, California (“Trip”). Trip includes round-trip, coach-class airfare for Grand Prize Winner and Guest from a major commercial airport near Grand Prize Winner’s residence (as determined by Sponsor in its sole discretion) to a major commercial airport near Napa Valley (as determined by Sponsor in its sole discretion); hotel accommodations (single room/double occupancy) for four (4) nights at a Napa Valley-area hotel (as determined by Sponsor in its sole discretion); travel insurance for the Trip (details to be determined in Sponsor’s sole discretion); and admission (“Admission”) for Grand Prize Winner and Guest to the Culinary Institute of America’s Greystone Sophisticated Palate program (“Program”). Admission includes only food & drink, transportation, and equipment expenses connected with the Program and provided to Grand Prize Winner and Guest. Program is scheduled to take place daily from 8:00 a.m. to 9:00 p.m. for up to four (4) days as determined by Culinary Institute of America. Program may include, but is not limited to, seminars and lectures by Culinary Institute of America faculty, cooking classes and demonstrations, off-campus excursions to wineries and local food purveyors, etc. The total approximate retail value (“ARV”) of the Grand Prize is twelve thousand dollars ($12,550). Actual value may vary depending on city of departure, dates of travel, and airfare fluctuations. Any difference between actual ARV and stated ARV will not be awarded. The ARV of Grand Prize represents Sponsor’s good faith determination of the maximum retail value thereof. For Form 1099 reporting purposes, Grand Prize Winner shall be bound by such good faith determination. Sponsor will furnish an Internal Revenue Service Form 1099 to Grand Prize Winner for the ARV of Prize for the tax year in which Prize was won. Details of Prize will be determined by Sponsor in its sole discretion. If Prize is unclaimed by January 1, 2009, it will be forfeited, and an alternate Grand Prize Winner may be selected from the remaining eligible entries Sponsor reserves the right to substitute a similar Prize (or Prize element) of equal or greater value. All taxes and other expenses, costs, or fees associated with the acceptance and/or use of Prize are the sole responsibility of Grand Prize Winner. Prize cannot be transferred by Grand Prize Winner or redeemed for cash and is valid only for the items detailed above, with no substitution of Prize by Grand Prize Winner. If Prize is unclaimed, it will be forfeited, and an alternate Grand Prize Winner may be selected from the remaining eligible entries. If a Prize element is not available for any reason, the remaining elements of Prize shall constitute full satisfaction of Sponsor’s Prize obligation to Grand Prize Winner, and no additional compensation will be awarded. Certain blackout periods and travel restrictions may apply. Travel and hotel arrangements will be determined by Sponsor/fulfillment company in its sole discretion. Sponsor/ fulfillment company reserves the right to provide ground transportation in lieu of air transportation. Travel must occur on dates and times designated by Sponsor (before January 1, 2009) or Prize will be forfeited and an alternate Grand Prize Winner may be selected from the remaining eligible entries. Travel must occur on dates and times designated by Sponsor or Prize will be forfeited and an alternate Grand Prize Winner may be selected from the remaining eligible entries. Once determined, no change, extension, or substitution of travel dates and/or times is permitted, except by Sponsor in its sole discretion. Grand Prize Winner and Guest must travel together on the same itinerary. Prize consists only of the elements set forth above. No other travel elements (including, without limitation, ground transportation, insurance, gasoline, meals, gratuities, and souvenirs) are included in Prize. All taxes and fees assessed at the time of ticketing are the responsibility of Grand Prize Winner. Tickets are non-refundable. Reservations are subject to availability. Tickets are not valid for business-related or group travel. Tickets are valid only for travel on airline chosen by Sponsor in its sole discretion. Tickets will be issued only to Grand Prize Winner and Guest. Tickets are void if sold for cash or other consideration. Grand Prize Winner is responsible for any tax liability (including applicable departure taxes or fees), inspection charges, and security charges. Once issued, tickets are non-transferable and may not be reissued once travel has commenced. Open tickets may not be issued and stopovers are not permitted. Travel arrangements must be made through Sponsor. Grand Prize Winner and Guest must have valid travel documents (e.g., valid, government-issued photo identification and/or passport) prior to departure, failure to do so will result in forfeiture of Prize. Sponsor shall have no responsibility or liability for cancellations, delays, or any other change by any company or person providing any element of Prize due to reasons beyond Sponsor’s control, and is not responsible or liable for any expenses incurred as a consequence thereof. Travel may not be combined with any other offer and may not qualify for frequent flyer miles or hotel points. All travel will be at the risk of Grand Prize Winner and Guest. Sponsor will not replace any lost or stolen tickets, vouchers, or certificates. All elements of Prize must be redeemed at the same time. In the event of an act of God or an unforeseen, uncontrollable event, Sponsor reserves the right to reschedule all travel for a later date. If Grand Prize Winner chooses to take the Trip or attend the Program with no Guest, the remaining elements of Prize shall constitute full satisfaction of Sponsor’s Prize obligation to Grand Prize Winner and no additional compensation will be awarded. Guest, if any, may be required to execute and return a release of liability and, except where prohibited, publicity release (collectively, “Guest Documents”), which must be returned with the Sweepstakes Documents (defined below), or Prize will be forfeited and an alternate Grand Prize Winner may be selected from the remaining eligible entries. If Guest is a minor, Grand Prize Winner must be such minor’s parent or legal guardian and must execute and return the Guest Documents on such minor’s behalf. Entrants selected must comply with all terms and conditions of these Official Rules and winning is contingent upon fulfilling all requirements. Sponsor shall have the right, but not the obligation, to make any deductions and withholdings that Sponsor deems necessary or desirable under applicable federal, state and local tax laws, rules, regulations, codes or ordinances.

Due to the nature of television, the exhibition dates and times of each first run episode of the Show (and, therefore, the entry and random drawing dates and times) are subject to change. In the event the Show is canceled prior to exhibition, the Promotion will terminate as of the date of cancellation and the Grand Prize will not be awarded. In the event the Show is cancelled or preempted after an episode of the Show is already airing, and in the event any portions of the Promotion are canceled, modified or suspended, the Grand Prize will not be awarded. Additionally (and without limiting the foregoing), if for any reason this Promotion is not capable of being run or implemented as planned, including, but not limited to, as the result of infection by computer viruses or bugs, tampering, unauthorized intervention, fraud, or any other cause of any kind, which, in Sponsor’s sole judgment, is likely to or actually corrupts or affects the administration, security, fairness, integrity or proper conduct of the Promotion, then Sponsor reserves the right to cancel, terminate, modify or suspend all or any part of the Promotion and any prize may not be awarded; except that Sponsor, in its sole discretion, reserves the right to pick winner(s) in a random drawing from among all eligible entries received by Sponsor up until the time of such cancellation, termination, modification or suspension, as applicable.

Winner Notification: The potential Grand Prize Winner will be notified by phone and/or email. Sponsor/Sponsor’s representatives will make ONLY two (2) attempts to contact the potential Grand Prize Winner at the phone number or email address provided online or at the cell phone number used to enter within forty-eight (48) hours from the time of the winner selection. If Sponsor/Sponsor’s representatives are unable to reach a potential Grand Prize winner via phone or email within this time frame, he/she will be disqualified and an alternate will be selected. The potential winner will be required to execute and return a notarized affidavit of eligibility/release of liability and/or publicity release (where legal) within five (5) days of attempted notification (collectively “Sweepstakes Documents”). If any potential winner cannot be contacted or any prize/prize notification is returned as undeliverable or if potential winner fails to sign and return the Sweepstakes Documents within the required time period (if required), potential winner will forfeit any prize even though his/her name may have been shown/announced publicly. In the event that a potential winner is disqualified for any reason, Sponsor may award the applicable prize to an alternate winner. Odds of winning a prize depend on number of eligible text message or online entries received.

General Conditions:

  1. By entering, entrants fully and unconditionally accept and agree to be bound by these complete Official Rules and the decisions of Sponsor, which shall be final. Sponsor has the right to modify these rules in its sole discretion for clarification purposes without materially affecting the terms and conditions of the Promotion, as determined by Sponsor.
  2. Except where prohibited, the Grand Prize Winner grants to Sponsor and its advertising agencies the right to use, and publish his or her proper name, likeness, voice, opinions, biographical information and state and announce publicly Grand Prize Winner’s name, home city and state in any media to promote Sponsor and the Promotion without additional compensation.
  3. Entrants enter at their own risk. Sponsor is not responsible for and shall not be liable for (i) late, lost, delayed, damaged, misdirected, incorrect, stolen, incomplete, ineligible or unintelligible text message or online entries; (ii) telephone, electronic, hardware, software program, network, Internet or computer failures or difficulties; (iii) errors in transmission; (iv) any condition caused by events beyond the control of Sponsor that may cause the Promotion to be disrupted or corrupted; (v) any injuries, losses, or damages of any kind caused by or resulting from acceptance, possession, use or misuse of any prize, or from participation in the Promotion including, but not limited to, any and all activities of any kind related to the receipt of the Grand Prize; or (vi) any printing or typographical error in any materials associated with these Official Rules or the Promotion generally. Entrants assume all liability for any injury or damages of any kind caused or claimed to be caused by his or her participation in the Promotion and/or the acceptance and/or use of any prize, and release Sponsor and/or any representatives of Sponsor and their respective officers, directors, employees, parents, subsidiaries and affiliates from any such liability. Sponsor, Magical Elves, Inc., Single Point, Toyota North America and each of their respective officers, directors, employees, parents, subsidiaries and affiliates (“Released Parties”) assume no responsibility for any injury or damage to participants’ or to any other person’s computer relating to or resulting from entering or downloading materials or software in connection with this Promotion.

  4. Sponsor may prohibit any entrant or potential entrant from participating in the Promotion, if at the sole discretion of Sponsor, such person shows a disregard for these Official Rules, or acts (1) with an intent to annoy, abuse, threaten, or harass any other entrant, Sponsor, or its agents or representatives or (2) in any other disruptive manner.
  5. In the event of a dispute as to the identity of an entrant, the authorized account holder of the cellular phone or email address used to enter, if applicable, will be deemed to be the entrant. “Authorized account holder” of a cellular phone is the natural person in whose name the phone has been issued and to whom services are billed. “Authorized account holder” of an email address is defined as the natural person who is assigned to an email address by an Internet Access provider, on-line service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.
  6. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of any participant, Sponsor or the Released Parties in connection with the Promotion, shall be governed by and construed in accordance with the laws of the State of New York without giving effect to any choice of law or conflict of law rules or provisions which would cause the application of the laws of any jurisdiction other than the State of New York. If any controversy or claim arising out of or relating to the Promotion, the Official Rules, or the breach of any term hereof, cannot be otherwise resolved, it shall be resolved by binding arbitration conducted in the County of New York, and administered by Judicial Arbitration and Mediation Services (“JAMS”) in accordance with its Streamlined Arbitration Rules and Procedures or subsequent versions thereof (“the JAMS Rules”). The JAMS Rules for selection of an arbitrator shall be followed, except that the arbitrator shall be an experienced arbitrator licensed to practice law in New York. The decision of the arbitrator shall be binding, final and conclusive and shall not be appealable to any court.
